How to stop contract auto-renewals catching you out

Track the notice deadline, not the end date. An auto-renewing contract typically requires written notice 30, 60 or 90 days before it ends — so the date that actually matters is the last day you can give notice, which may be three months earlier than the date in your calendar. Record both, and set the reminder against the notice deadline.

The date in your calendar is usually the wrong one

Most people record the contract's end date. But an evergreen clause renews automatically unless notice is served in a defined window, and that window shuts before the end date arrives. By the time the contract-end reminder fires, another term has already begun.

Read the termination clause once, write down the notice period, and calculate the notice deadline. That is the date to defend.

Counterparty, contract value, end date, notice period, the calculated notice deadline, the notice method the contract requires, and the internal owner.

Notice method is easy to skip and expensive to get wrong. Contracts that require written notice by recorded delivery are not satisfied by an email, and discovering that after the window closes costs you the full term.

Remind before the deadline, not on it

The notice deadline is not the day to be told — it is the day the decision must already be made and served. Reminding thirty days before the deadline gives room to review whether the contract is still worth having, get an approval, and send notice by the required method.

For anything material, a second reminder a week out is worth having. The first prompts the review; the second catches the review that stalled.

Keep the renewal history

When a contract renews, the old term matters. Knowing that a supplier has auto-renewed unchallenged for four years is exactly the context you want before the fifth negotiation, and it disappears the moment you overwrite the dates.

Thirty, sixty and ninety days are all common, and some enterprise agreements require more. It is set by the individual contract, so it has to be read rather than assumed.
